On 13 January 2022, Francesco Gaetano Caltagirone, Vice Chairman of the Board of Directors and 8.04% shareholder of Generali, announced his resignation from the Board of Directors. Another member also left the board on 17 January 2022. It was Romolo Bardin, who had a stake of 6.62% of the capital of the Italian group.
The two shareholders left the board to protest the reappointment of CEO Philippe Donnet for a third term.
Francesco Gaetano Caltagirone said he was unable to make his own critical contribution to the deliberations of the Board of Directors, particularly regarding the procedure of presenting a list of candidates by the Board for its own renewal.
